Proposal to acquire Ingenia Communities Group

October 26, 2026 | IN Announcements, Media Release and News | BY AVID | 3 min read

AVID Property Group Holdings Pty Ltd or its nominee(s) (together with its affiliates and subsidiaries, AVID), with backing from a global sovereign wealth fund and a global financial sponsor, confirms that after market close on 23 October 2026, it submitted an unsolicited, non-binding and indicative proposal (AVID Indicative Proposal) to the Board of Ingenia Communities Group (ASX: INA) (Ingenia) to acquire 100% of the stapled securities in Ingenia by way of scheme of arrangement and inter-conditional trust scheme.

Under the AVID Indicative Proposal, Ingenia securityholders would receive cash consideration of A$5.35 per stapled security, which AVID proposes will not be reduced by any distribution paid by Ingenia for the half year ending 31 December 2026 of up to A$0.05 cash per stapled security.

Ingenia securityholders would receive total value of up to A$5.40 per stapled security.
The Ingenia board has determined it appropriate to enter into a process deed with AVID and to grant it a period of “soft” exclusivity of up to six weeks.

Further details of the AVID Indicative Proposal, including its conditions, funding, the exclusivity arrangements and the process deed between Ingenia and AVID, are set out in Ingenia’s announcement released today.

AVID Property Group Chief Executive Officer Anthony Demiris said:

“Ingenia has built a high-quality business with a leading position in the land lease communities sector and an attractive portfolio of communities across Australia.

“AVID has a strong track record of developing and operating residential and community developments, including through our Vantage land lease communities platform. With backing from our investment partners, we believe this proposal delivers compelling value for Ingenia securityholders and a quality future for the business.

“We look forward to engaging constructively with the Ingenia Board.”

The AVID Indicative Proposal remains subject to conditions, including completion of due diligence, negotiation of definitive transaction documentation, support from the Ingenia Board, required regulatory approvals, approval by AVID’s board and investment committee, and termination of Ingenia’s existing scheme implementation deed with Peet Limited, as described in Ingenia’s announcement.

AVID intends to fund the AVID Indicative Proposal through a combination of equity and debt, and definitive transaction documents would not be subject to a financing condition. AVID also intends to transfer Ingenia’s holiday parks business to Tasman Holiday Parks or its nominee following implementation, which would not be a condition to implementation or to payment of the scheme consideration.

There is no certainty that the AVID Indicative Proposal will lead to a binding proposal or that any transaction will eventuate.
